Terms of Use

Last updated: · Version 1.0

1. Acceptance

By accessing the website at chorus.codes ("the Site") or downloading, installing, or running the Chorus software ("the Software"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not use the Site or the Software.

These Terms form a binding agreement between you and the Chorus team, based in Sydney, Australia ("we", "us", "our"), the operator of Chorus.

2. License

2.1 The CLI engine and daemon

The CLI orchestrator, local daemon, MCP server, and core libraries are licensed under the Apache License 2.0. Your use of those components is governed by that license, which includes its own warranty disclaimer and limitation of liability — those terms control over anything inconsistent in this document for the open-source components.

2.2 The hosted services

Any cloud-hosted features we operate (the marketing site itself, the notify mailing list, future Pro/Teams tiers, the bundled-credits edge proxy, premium templates) are proprietary. We grant you a personal, non-exclusive, non-transferable, revocable license to use those services in accordance with these Terms.

3. Acceptable use

You agree NOT to:

We may suspend or revoke your access to any hosted service at any time, without notice, if you breach this section. The Apache 2.0 license governing the open-source components remains intact regardless.

4. Your responsibilities — read carefully

You are solely responsible for:

5. AI-generated output disclaimer

Chorus orchestrates third-party AI models. We do not produce, train, or control those models. Their output may be inaccurate, biased, offensive, copyright-infringing, or otherwise harmful. You are solely responsible for reviewing and validating any AI-generated content before using it, including code, documentation, configuration, or any other artifact.

We make no representation that AI output is correct, safe, fit for any particular purpose, or non-infringing. Treat every AI suggestion as untrusted input.

6. Disclaimer of warranties

6.1 Australian Consumer Law

If you are a "consumer" within the meaning of the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth) — the "ACL"), nothing in these Terms excludes, restricts, or modifies any consumer guarantee, condition, warranty, right, or remedy implied or imposed by the ACL or any other applicable law that cannot lawfully be excluded.

To the extent permitted by law, our liability for breach of any non-excludable consumer guarantee under the ACL is limited, at our option, to:

7. Limitation of liability

8. Indemnification

You agree to defend, indemnify, and hold harmless us, our affiliates, employees, contractors, and contributors from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from:

9. Intellectual property

You retain all rights to your own code, prompts, and any output generated through the Software. We do not claim any ownership over your work. The "Chorus" name, logo, and brand assets are ours; please don't pass off forks or derivatives as official.

10. Third-party services

The Software relies on third-party CLIs, AI providers, and hosted services. Their availability, output, pricing, and terms are outside our control. Your use of those third parties is governed by their own terms — we recommend you read them.

11. Termination

You can stop using the Software at any time by uninstalling it. We can suspend or terminate your access to any hosted service at any time, with or without cause, with or without notice. The disclaimers, liability limits, indemnification, and IP sections survive termination.

12. Changes to these Terms

We may update these Terms as the product evolves. Material changes will be announced on the Site and, where appropriate, by email to subscribers. Continued use after changes take effect constitutes acceptance of the new Terms.

13. Governing law and jurisdiction

These Terms are governed by the laws of New South Wales, Australia, without regard to its conflict-of-law principles. Any dispute, claim, or proceeding arising from or relating to these Terms or your use of Chorus will be resolved exclusively in the courts of New South Wales, Australia and the federal courts of Australia, and you submit to the personal jurisdiction of those courts.

The above is subject to any mandatory consumer-protection law (including the Australian Consumer Law) that gives you a non-excludable right to bring proceedings in your country of residence or before a particular tribunal.

14. Severability and entire agreement

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. These Terms (plus the Apache 2.0 license for the open-source components, the Privacy Policy, and the Cookie Policy) constitute the entire agreement between you and us regarding Chorus.
